Distributor Policy

This policy governs all distributor, stockist, reseller, and B2B partner relationships with Darjeana™. By applying for or accepting distributorship, you agree to comply with the terms below.

1. Eligibility Criteria

To apply as a Darjeana™ distributor, the applicant must:
  • Be at least 18 years of age
  • Hold a valid business entity (Proprietorship / Partnership / LLP / Pvt. Ltd.)
  • Possess required registrations: GST Registration, PAN Card
  • Have the ability to store, promote, and distribute products responsibly
Darjeana™ reserves the right to approve or reject any application without obligation to disclose reasons.

2. Application & Approval Process

Submission of a distributor application does not guarantee approval. Approval is based on:
  • Business capability
  • Market reach
  • Geographic requirement
  • Brand alignment
Darjeana™ may request additional documents for verification. All decisions are final and binding.

3. Territory & Exclusivity

Distribution territories may be area-based, district-based, or state-based. Exclusivity is not guaranteed unless explicitly agreed in writing. Darjeana™ reserves the right to appoint multiple distributors in the same region if required.

4. Pricing, Payments & Orders

  • Distributor pricing, margins, and schemes are communicated separately.
  • All payments must be made in advance unless otherwise agreed in writing.
  • Prices are subject to change without prior notice.
  • Distributor orders are non-cancellable and non-refundable once confirmed.

5. Branding & Marketing Guidelines

Distributors must:
  • Use Darjeana™ branding exactly as provided
  • Not alter logos, packaging, pricing, or brand messaging
  • Not make false, misleading, or unauthorized claims
Unauthorized use of brand assets may result in immediate termination.

6. Sales Channels & Restrictions

Distributors are not permitted to:
  • Sell Darjeana™ products below MRP without written approval
  • List products on marketplaces or e-commerce platforms without consent
  • Appoint sub-distributors without authorization

7. Product Handling & Quality

Distributors are responsible for proper storage, hygiene, and ensuring products are sold within shelf-life. Damages due to mishandling, improper storage, or negligence are not refundable.

8. Returns, Replacements & Claims

  • No return or refund for unsold stock.
  • Transit damage or wrong supply must be reported within 24 hours of delivery.
  • All claims are subject to verification and approval by Darjeana™.

9. Termination of Distributorship

Darjeana™ may terminate distributorship without notice if policy terms are violated, payments are defaulted, or brand reputation is harmed. Upon termination, the distributor must stop using brand assets immediately. No compensation is applicable unless stated otherwise.

10. Confidentiality

All pricing, schemes, documents, and communications shared are confidential and must not be disclosed to third parties.

11. Legal Jurisdiction

This policy is governed by the laws of India. Any dispute shall fall under the jurisdiction of Kolkata, West Bengal.

12. Policy Amendments

Darjeana™ reserves the right to modify this policy at any time. The latest version available on the website shall be considered valid.
